Welcome to **Bhanu Advertisers** (“we,” “our,” “us,” or “the Company”). We are a full-service advertising and digital marketing agency headquartered in Hyderabad, Telangana, India.
By accessing our website or engaging our services including Digital Marketing, Social Media Management, SEO & SEM, Newspaper Advertising, TV Advertisement Services, Brand Strategy & Identity, Content Marketing, and Web Design & Development you (“Client,” “you,” or “your”) agree to be bound by these Terms & Conditions.
Please read these terms carefully before proceeding. If you do not agree, please do not use our website or services.
## 2. Services Offered
Bhanu Advertisers provides the following professional services:
– **Digital Marketing** – Strategy, execution, and performance management of online marketing campaigns
– **Social Media Management** – Content creation, scheduling, community management, and paid social campaigns across platforms including Instagram, Facebook, LinkedIn, and YouTube
– **SEO & SEM** – Search engine optimisation, Google Ads management, keyword strategy, and paid search campaigns
– **Newspaper Advertising** – Design, placement, and coordination of print advertisements across regional and national publications
– **TV Advertisement Services** – Concept development, production coordination, and media buying for television commercials
– **Brand Strategy & Identity** – Brand positioning, logo design, visual identity systems, and brand guidelines
– **Content Marketing** – Blog writing, video scripts, emailers, infographics, and content calendars
– **Web Design & Development** – WordPress website design, development, landing pages, and ongoing maintenance
The scope, deliverables, timelines, and pricing for each service will be defined in a separate **Service Agreement** or **Proposal** issued to the client.
## 3. Client Responsibilities
To enable us to deliver services effectively, the client agrees to:
– Provide accurate, complete, and timely information, assets, and approvals
– Grant necessary access to ad accounts, social media pages, websites, and analytics platforms
– Designate a point of contact for communication and approvals
– Review and approve deliverables within the agreed turnaround time
– Ensure that all content, logos, and materials shared with us are owned by or licensed to the client
– Settle invoices within the agreed payment terms
Delays caused by the client’s failure to provide required inputs may affect project timelines, for which Bhanu Advertisers shall not be held responsible.
## 4. Payments & Fees
**a) Pricing**
All service fees are outlined in the proposal or agreement provided to the client. Prices are quoted in Indian Rupees (INR) unless otherwise specified.
**b) Payment Terms**
– A non-refundable advance (typically 50%) is required before project commencement
– The remaining balance is due upon project completion or as per milestone schedule agreed in writing
– Monthly retainer services are billed at the beginning of each billing cycle
**c) Late Payments**
Invoices unpaid beyond the due date may attract a late fee of 2% per month on the outstanding amount. Bhanu Advertisers reserves the right to pause or suspend services until payment is received.
**d) Third-Party Costs**
Ad spends, media buying costs, stock assets, domain/hosting fees, printing charges, and any other third-party expenses are billed separately and are not included in service fees unless explicitly stated.
## 5. Revisions & Approvals
– Each project includes a defined number of revision rounds as stated in the proposal
– Additional revisions beyond the agreed limit will be billed at our standard hourly or per-revision rate
– Client approval (written or via email) at each stage constitutes acceptance of that deliverable
– Once a deliverable is approved, further changes will be treated as new work and billed accordingly
## 6. Timelines & Delivery
– Project timelines are estimated and communicated in the proposal or kickoff document
– Timelines are contingent on timely client inputs, approvals, and payments
– Bhanu Advertisers will make reasonable efforts to meet deadlines but is not liable for delays caused by third parties, platform outages, or client-side delays
– Rush delivery requests may be accommodated at an additional fee
## 7. Intellectual Property
**a) Client-Owned Assets**
All original content, brand assets, and materials provided by the client remain the sole property of the client.
**b) Work Product**
Upon receipt of full payment, all final deliverables (designs, content, developed websites, ad creatives) created specifically for the client become the client’s property.
**c) Agency Rights**
Bhanu Advertisers retains the right to:
– Use completed work in our portfolio, case studies, and marketing materials (unless the client requests confidentiality in writing)
– Retain ownership of tools, templates, frameworks, and methodologies used in the creation of deliverables
**d) Third-Party Assets**
Stock images, fonts, plugins, and licensed tools used in the project are subject to their respective licensing terms. The client is responsible for ensuring compliance with those licenses post-delivery.
## 8. Confidentiality
Both parties agree to keep confidential all sensitive business information, strategies, client data, pricing, and proprietary processes shared during the engagement. This obligation continues for **2 years** after the end of the service relationship.
We will not disclose your business information to any third party except as required to deliver the agreed services or as mandated by law.
## 9. Campaign Performance & Results
– Bhanu Advertisers applies industry best practices to maximise campaign results; however, we do **not guarantee specific outcomes** such as a fixed number of leads, a specific ROAS, or guaranteed rankings on search engines
– Digital marketing results are influenced by market conditions, algorithm changes, competition, ad budgets, and audience behaviour, all of which are beyond our full control
– We commit to transparent reporting, regular updates, and continuous optimisation throughout the engagement
## 10. Termination of Services
**a) By the Client**
The client may terminate services with a written notice of **30 days**. Any work completed up to the termination date will be billed in full. Advance payments are non-refundable.
**b) By Bhanu Advertisers**
We reserve the right to terminate services immediately if:
– The client engages in unethical, illegal, or abusive conduct
– Payment obligations are not met despite reminders
– The client provides false information that affects service delivery
Upon termination, all completed deliverables will be handed over upon receipt of all outstanding payments.
## 11. Limitation of Liability
To the maximum extent permitted by applicable law, Bhanu Advertisers shall not be liable for:
– Indirect, incidental, or consequential damages arising from service use
– Loss of business, revenue, or data resulting from campaign performance
– Damages caused by third-party platforms (Google, Meta, print vendors, TV channels, etc.)
– Website downtime, hacking, or data breaches caused by third-party hosting or platform issues
Our total liability in any matter shall not exceed the total fees paid by the client in the **3 months** preceding the claim.
## 12. Indemnification
The client agrees to indemnify and hold harmless Bhanu Advertisers, its team, and associates from any claims, damages, or expenses (including legal fees) arising from:
– Content or materials provided by the client that infringe third-party rights
– Misuse of deliverables after handover
– Client’s violation of applicable laws or platform policies
## 13. Governing Law & Dispute Resolution
These Terms & Conditions are governed by the laws of **India**. Any disputes arising from this agreement shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of **Hyderabad, Telangana**.
## 14. Amendments to These Terms
Bhanu Advertisers reserves the right to update these Terms & Conditions at any time. Changes will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.
